These Terms of Service ("Terms") constitute a legally binding agreement between you and BACAN Studio ("we", "us", or "our") concerning your access to and use of our services, website, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
BACAN Studio provides premium brand strategy, web design, visual identity, and digital experience services. Our services include but are not limited to:
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.
As a client of BACAN Studio, you agree to:
5.1 Ownership: Upon full payment of all fees, you will own the final deliverables created specifically for you as part of your project. However, we retain ownership of all preliminary concepts, drafts, and work-in-progress materials.
5.2 Portfolio Rights: We reserve the right to showcase completed work in our portfolio, case studies, and promotional materials unless otherwise specified in writing.
5.3 Third-Party Assets: Any third-party fonts, stock images, illustrations, or other assets used in your project remain the property of their respective owners and may require separate licensing.
6.1 Fees: All fees are specified in your project proposal or agreement. Payment terms typically include an initial deposit before work commences.
6.2 Late Payments: Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.
6.3 Additional Work: Any work beyond the scope outlined in your agreement will be billed separately at our standard rates.
Project timelines are estimates and depend on timely client feedback and approval. Delays in receiving necessary materials or feedback may extend the project timeline accordingly. We will make reasonable efforts to meet agreed-upon deadlines but cannot guarantee specific completion dates.
Each project includes a specified number of revision rounds as outlined in your agreement. Additional revisions beyond the agreed-upon scope may incur additional fees. Significant changes to project scope will require a new proposal and agreement.
9.1 Client Termination: You may terminate your project at any time by providing written notice. You will be responsible for payment of all work completed up to the termination date, plus any cancellation fees as specified in your agreement.
9.2 Our Termination: We reserve the right to terminate any project if payment terms are not met, if you breach these Terms, or if continuing the project becomes impractical or unreasonable.
10.1 Our Warranty: We warrant that all work will be performed in a professional and workmanlike manner consistent with industry standards.
10.2 Disclaimer: Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific business results from our services.
To the maximum extent permitted by law, BACAN Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the total fees paid by you for the specific project giving rise to the claim.
We will maintain the confidentiality of any proprietary or confidential information shared during our engagement, except as required by law or as necessary to perform our services. This obligation continues for three years following project completion.
You agree to indemnify and hold harmless BACAN Studio from any claims, damages, liabilities, and expenses arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in San Francisco, California.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our Services following any changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
